Carrier Supplier Code of Ethics
Supplier shall not, directly or indirectly, wrongfully solicit, obtain or use on behalf of CARRIER, or wrongfully disclose to CARRIER, any information of any other person, association, firm, corporation, government or other entity, which is trade secret, confidential, proprietary, government security classified, or government procurement sensitive (e.g. source selection information) or any other information which offers or may offer CARRIER an illegal or unfair competitive advantage.
In the performance of this Agreement, Supplier shall not breach or violate existing employment agreements, consulting agreements, nondisclosure agreements for the assignment of inventions, or any other agreements which could give rise to a claim against CARRIER for tortuous interference with a contract or prospective contract.
No entertainment, gift, gratuity, money, or other thing of value shall be paid, offered, given, received, solicited, or promised by Supplier (or by any others used by Supplier in the performance of this Agreement) to any Carrier employee or third party, either directly or indirectly, to influence improperly the award or performance of this Agreement, or to create an actual or potential conflict of interest. Carrier’s policy is described in the attached document, entitled "Business Gifts from Suppliers".
Supplier shall avoid all activities that would place the Supplier in a position where its judgment in its service on behalf of CARRIER may, or may appear to, be biased or where Supplier could obtain, or appear to obtain, an unfair competitive advantage.
Neither Supplier nor any others used by Supplier in the performance of this Agreement, has been debarred or suspended from doing business with the U.S. Government or declared ineligible by any agency of the U.S. Government to conduct business with a U.S. company, nor is presently the subject of any such proposed action.
The Supplier shall promptly notify Carrier in writing of any fact which could constitute a breach of any of the above obligations.
